1. Acceptance of Terms
By accessing or using the EcomX platform, you agree to be bound by these Terms of Service. If you don’t agree to these terms, do not use our services.
2. Description of Service
EcomX is an e-commerce platform that enables merchants to create online stores and accept cash-on-delivery (COD) payments. We provide software tools, hosting, payment infrastructure, and related services. EcomX is operated by Golden Falcon Traders LLC.
3. Account Registration
To access most features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information
- Keep your password confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
4. Acceptable Use
You agree NOT to use EcomX to:
- Engage in any illegal activity
- Sell prohibited items including weapons, illegal drugs, counterfeit goods, stolen property, or items that violate intellectual property rights
- Send spam, phishing attempts, or unsolicited communications
- Attempt to bypass security measures or access unauthorized areas
- Reverse engineer, decompile, or attempt to extract source code
- Use the platform for fraudulent transactions
- Violate any applicable laws or regulations
5. Payment Terms
- Paid subscriptions are billed monthly or annually in advance
- Subscriptions auto-renew at the end of each billing period unless cancelled
- All payments are non-refundable except as described in Section 6
- We may change pricing with 30 days notice for existing subscribers
- Failure to pay may result in account suspension or termination
6. Refunds
Refunds are available within 14 days of initial paid subscription for new customers. Refunds for subsequent renewals are at our discretion and typically only granted in cases of service unavailability or billing errors.
7. Free Plan
The free plan is available indefinitely subject to fair use. We may modify free plan features with reasonable notice. We may terminate free accounts that have been inactive for 12+ months or that violate these Terms.
8. Merchant Responsibilities
As a merchant using EcomX, you are responsible for:
- Fulfilling orders placed through your store
- Tax compliance in your jurisdiction (including VAT/sales tax)
- Customer service for your buyers
- Compliance with consumer protection laws
- Accuracy of product listings, pricing, and descriptions
- Resolution of disputes with your customers
- Compliance with applicable data protection laws for your customers’ data
We are not a party to transactions between you and your customers.
9. Intellectual Property
- The EcomX platform, name, logo, and software are our intellectual property
- You retain ownership of content you upload (products, images, store content)
- By uploading content, you grant us a non-exclusive license to host, display, and process it as needed to provide our services
- You represent that you have the right to upload all content you submit
- We will respond to valid takedown notices for infringing content
10. Termination
- You may cancel your account anytime through your dashboard
- We may suspend or terminate your account for violation of these Terms, illegal activity, or non-payment
- Upon termination, your data is retained for 30 days, then deleted (subject to legal retention requirements)
- Sections that should survive termination (intellectual property, limitation of liability, governing law) survive
11. Limitation of Liability
EcomX services are provided “as is” without warranties of any kind. To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- Our total liability is limited to the amount you paid us in the 12 months preceding the claim
- We are not liable for losses arising from your customers’ actions, delivery issues, or third-party services
12. Disputes and Arbitration
Disputes arising from these Terms will be resolved through binding arbitration in Albuquerque, New Mexico, USA, under the Commercial Arbitration Rules of the American Arbitration Association. Class action waivers apply where permitted by law.
13. Modifications to Terms
We may update these Terms from time to time. Significant changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes take effect constitutes acceptance.
14. Governing Law and Contact
These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict of law principles.
